These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the website vinculopublico.com and the real estate crowdlending services offered by Vinculopublico S.A.S. (hereinafter, "Vinculopublico" or "the Platform"). By accessing or using our services, you agree to be bound by these Terms.

1. Scope of service

Vinculopublico operates a crowdlending platform that facilitates the connection between individual investors and real estate project developers in Argentina. We act as technological intermediaries and are not party to the investment contracts entered into between investors and developers. The Platform is registered with the National Securities Commission (CNV) as a Collective Financing Operator under Registry No. 847.

2. Eligibility

To use our investment services you must: be over 18 years old; be an Argentine resident or foreigner with a valid CUIT/CUIL; complete the identity verification (KYC) process required by Anti-Money Laundering regulations; provide truthful, current, and complete information; have legal capacity to enter into binding contracts.

3. Investment process

Investments made through the Platform are irrevocable once confirmed, except in cases provided by applicable regulations. Before investing, you have the obligation to read and understand all project documentation, including: project description, risk analysis, investment structure, estimated timelines, and repayment conditions. Vinculopublico does not guarantee the profitability of any project or the return of invested capital.

4. Investment risks

Investing in real estate projects through crowdlending involves significant risks, including but not limited to: total or partial loss of invested capital; delays in project execution; non-compliance by developers; real estate market fluctuations; exchange rate and macroeconomic risks inherent to Argentina; illiquidity of the investment during the project term. It is your responsibility to evaluate whether this type of investment is suitable for your risk profile and financial situation.

5. User obligations

As a Platform user, you commit to: use the service lawfully and in accordance with these Terms; maintain the confidentiality of your access credentials; notify us immediately of any unauthorized use of your account; provide truthful information and keep it updated; not use the Platform for fraudulent activities, money laundering, or terrorism financing.

6. Intellectual property

All website content, including texts, graphics, logos, images, software, and their compilation, are owned by Vinculopublico or its licensors and are protected by Argentine intellectual property laws and international treaties. Reproduction, distribution, or modification of these contents without express written authorization is prohibited.

7. Limitation of liability

Vinculopublico shall not be liable for: investment losses derived from developer non-compliance; indirect, incidental, or consequential damages; service interruptions due to technical causes or force majeure; content of projects published by third parties. Our maximum liability is limited to the commissions actually received for the service provided.

8. Modifications

We reserve the right to modify these Terms at any time. Modifications will take effect from their publication on the Platform. Continued use of the service after any modification constitutes your acceptance of the new terms. We recommend reviewing this page periodically.

9. Termination

We may suspend or cancel your account if you: breach these Terms; provide false or fraudulent information; use the Platform for illegal purposes; fail to complete the identity verification process. Termination will not affect obligations derived from investments already made.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Argentine Republic. For any dispute arising from these Terms or the use of the Platform, the parties submit to the exclusive jurisdiction of the ordinary courts with competence in the Ciudad Autónoma de Buenos Aires, waiving any other jurisdiction that may correspond to them.
